FAQ

Common questions about FINRA Municipal Securities Principal Exam (Series 53)

How do dealer obligations change when the firm advises an issuer rather than underwrites its bonds?

An issuer financial adviser helps the issuer plan or structure a financing and must identify and document that relationship. An underwriter purchases or places securities in a primary offering and has separate duties concerning offering information and syndicate conduct. A principal should establish the firm’s capacity at the start, check any state or local requirements, and test proposed role changes against the restrictions on an adviser underwriting or remarketing the same issue.

Does a customer’s sophistication remove the need to disclose material information?

No. A qualifying Sophisticated Municipal Market Professional relationship can change specified dealer obligations under MSRB Rule G-48, but the principal must first establish that the customer meets the rule’s conditions and the transaction falls within its scope. Fair dealing and applicable antifraud duties remain. A material fact the dealer knows at the time of trade should never be ignored merely because the buyer is experienced.

What is the difference between a trading review and an operations review of the same bond trade?

Trading supervision examines how the order was handled: the quotation, execution, price or commission, disclosure and trade report. Operations supervision checks that the resulting confirmation, comparison, delivery, payment and records agree with the executed trade. If a $100,000 bond purchase is executed for one account but confirmed to another, operations must resolve the mismatch while the principal also determines whether order handling or reporting needs correction.
